TERMS OF SERVICE & MEMBERSHIP AGREEMENT

These Terms of Service and Membership Agreement (“Agreement”) govern access to and use of mynashvilleguide.com (the “Website”), including all business listings, directory placements, advertising opportunities, promotional features, and related services offered through the Website.

The Website is owned and operated by Goldbull LLC (“Goldbull,” “Company,” “we,” “us,” or “our”).

By creating an account, purchasing a Regular Listing or Premium Listing, submitting business information, or otherwise using a paid listing service, the individual or legal entity purchasing or using the service (“Member,” “you,” or “your”) acknowledges that they have read, understood, and agreed to be legally bound by this Agreement.

If you do not agree to these Terms, you must not purchase or use the paid listing services.

1. ELIGIBILITY AND AUTHORITY

1.1. You represent and warrant that you are at least eighteen (18) years old and legally capable of entering into a binding agreement.

1.2. If you register or purchase a listing on behalf of a business, company, organization, or another person, you represent and warrant that you are duly authorized to act on behalf of that entity and to bind it to this Agreement.

1.3. You agree to provide accurate, complete, current, and truthful registration, billing, and business information.

1.4. Goldbull LLC reserves the right to reject, suspend, restrict, or terminate any account that contains false, misleading, incomplete, fraudulent, or unverifiable information, subject to applicable law.

2. DESCRIPTION OF SERVICES

2.1. mynashvilleguide.com is an online business directory and promotional platform that allows eligible businesses to publish business listings and related promotional information.

2.2. The Website may offer different membership levels, including:

• Regular Listing: A paid business directory listing with the features expressly identified in the applicable offer at the time of purchase.

• Premium Listing: A paid business directory listing that may include additional promotional placement, visibility, media features, or other benefits expressly identified in the applicable offer at the time of purchase.

2.3. The exact features, placement, duration, and price of each membership level will be determined by the offer presented at the time of purchase.

2.4. Goldbull LLC may modify, improve, discontinue, replace, or reorganize Website features, design, layout, search functions, promotional formats, and technical infrastructure when reasonably necessary for business, operational, security, or technical reasons, subject to applicable law and any express contractual commitments.

2.5. A Premium Listing does not guarantee a particular search ranking, permanent placement, number of views, customer inquiries, telephone calls, leads, appointments, sales, revenue, or business growth.

2.6. Unless expressly stated in writing, Goldbull LLC does not guarantee that any listing will appear in a particular search position, remain on a specific page, or receive any minimum level of traffic or exposure.

3. MEMBERSHIP TERM — TWELVE (12) MONTHS

3.1. Each Regular Listing and Premium Listing membership is purchased for a fixed period of twelve (12) months, beginning on the activation date or other commencement date expressly stated in the purchase confirmation.

3.2. The membership fee covers the applicable twelve-month membership term. The Member is responsible for reviewing the selected membership level, price, features, and term before completing payment.

3.3. Unless automatic renewal is separately and validly disclosed and affirmatively authorized, the membership expires at the end of its twelve-month term and does not automatically renew.

3.4. To continue receiving paid listing services after expiration, the Member must purchase a new membership or complete the renewal process presented by Goldbull LLC.

3.5. Goldbull LLC may remove, deactivate, or downgrade an expired listing after the membership term ends.

3.6. Any renewal, replacement membership, or additional paid service will be subject to the price and terms disclosed at the time of the new purchase.

4. MEMBERSHIP FEES, PAYMENTS, AND REFUND POLICY

4.1. All membership fees must be paid in advance through the payment methods made available on the Website.

4.2. Credit and debit card payments may be processed through Stripe or another payment processor designated by Goldbull LLC. By completing a purchase, you authorize the applicable payment processor to process the transaction for the amount displayed at checkout.

4.3. Goldbull LLC does not ordinarily receive or store complete payment card numbers when payment processing is handled by Stripe. Payment information is subject to the payment processor’s applicable terms and privacy practices.

4.4. ALL MEMBERSHIP PURCHASES ARE FINAL AND NON-REFUNDABLE, except where a refund is required by applicable law or expressly approved in writing by Goldbull LLC.

4.5. To the fullest extent permitted by applicable law, no refund, credit, reimbursement, or prorated repayment will be provided for:

(a) unused membership time;

(b) a Member’s failure to use or maintain their listing;

(d) a change in the Member’s business strategy, preferences, or circumstances;

(e) dissatisfaction with traffic, visibility, inquiries, leads, or sales;

(f) incorrect, incomplete, or delayed information submitted by the Member;

(g) removal, suspension, or termination resulting from the Member’s breach of this Agreement; or

(h) a Member’s failure to obtain the expected commercial benefit from the listing.

4.6. The non-refund policy does not exclude any refund or other remedy that cannot lawfully be waived.

4.7. The Member is responsible for ensuring that the selected listing type, price, and purchase terms are correct before submitting payment.

4.8. If a payment fails, is reversed, is disputed, or is determined to be unauthorized, Goldbull LLC may suspend the associated listing while the matter is investigated and may terminate the membership if the payment issue remains unresolved, subject to applicable law.

4.9. Goldbull LLC reserves the right to correct genuine pricing or billing errors and to issue refunds where required by law or appropriate to resolve a verified duplicate or erroneous charge.

5. MEMBER-PROVIDED CONTENT AND BUSINESS INFORMATION

5.1. The Member bears sole responsibility for the accuracy, legality, ownership, authorization, and completeness of all information and content submitted to or published on the Website.

This includes, without limitation:

(a) business name, trading name, and legal entity name;

(b) business address, service area, and geographic location;

(d) business descriptions, promotional text, slogans, and advertising claims;

(e) photographs, videos, graphics, logos, trademarks, and other visual materials;

(f) prices, discounts, offers, guarantees, and descriptions of products or services;

(g) professional licenses, permits, certifications, qualifications, and credentials;

(h) opening hours, operating status, and availability of services;

(i) information about owners, employees, representatives, or other identifiable individuals; and

(j) any other material, data, or representation submitted, uploaded, edited, or approved by the Member.

5.2. The Member warrants that all submitted information is truthful, current, lawful, and not misleading, deceptive, fraudulent, defamatory, or otherwise unlawful.

5.3. The Member must have all necessary rights, permissions, licenses, and consents to submit, publish, distribute, and authorize the use of every photograph, video, logo, trademark, text, and other item of content supplied to the Website.

5.4. The Member is responsible for obtaining any necessary permissions from photographers, copyright owners, employees, customers, models, property owners, and other individuals or entities whose rights may be implicated by the submitted content.

5.5. The Member is solely responsible for ensuring that its advertising, products, services, pricing, business practices, and promotional claims comply with all applicable laws and regulations, including consumer protection, advertising, privacy, intellectual property, professional licensing, and industry-specific requirements.

5.6. Goldbull LLC does not undertake to independently verify the truthfulness, completeness, authenticity, ownership, legality, or accuracy of Member-provided content and does not guarantee that such content has been independently reviewed or authenticated.

5.7. Goldbull LLC may, but is not obligated to, review, edit, reject, remove, restrict, or request correction of any content. Any review or publication of content does not constitute an endorsement, certification, verification, or guarantee of its accuracy or legality.

5.8. The Member must promptly update or remove inaccurate, expired, misleading, or otherwise inappropriate business information.

5.9. The Member must not submit confidential personal information, payment card details, sensitive personal data, or information about another person unless the Member has a lawful basis and all required authorizations to do so.

6. CONTENT LICENSE GRANTED TO GOLDBULL LLC

6.1. The Member retains ownership of the content it lawfully owns and submits to the Website.

6.2. By submitting content, the Member grants Goldbull LLC a non-exclusive, worldwide, royalty-free license, for the duration reasonably necessary to provide, operate, market, maintain, and administer the listing services, to host, store, reproduce, display, distribute, format, resize, crop, adapt for technical compatibility, and otherwise use that content in connection with the Website and the Member’s listing.

6.3. This license includes displaying the content on Website pages, in search results, in directory categories, and in related Website promotional materials, to the extent reasonably connected with the services purchased.

6.4. The Member represents that it has the legal right to grant this license and that the authorized use of the content will not infringe any third party’s rights.

6.5. Goldbull LLC may remove content or discontinue its display when the membership expires or terminates. Reasonable technical, archival, backup, legal, and security copies may remain for the period necessary for legitimate operational or legal purposes, subject to applicable law.

6.6. Nothing in this section transfers ownership of the Member’s trademarks, copyrighted materials, or other intellectual property to Goldbull LLC.

7. MEMBER INDEMNIFICATION

7.1. To the fullest extent permitted by applicable law, the Member agrees to defend, indemnify, and hold harmless Goldbull LLC and its owners, members, managers, officers, employees, agents, contractors, affiliates, successors, and service providers (collectively, the “Protected Parties”) from and against third-party claims, demands, proceedings, losses, liabilities, damages, judgments, settlements, penalties, and reasonable attorneys’ fees and legal expenses arising out of or relating to:

(a) content, information, photographs, videos, advertisements, or materials supplied or authorized by the Member;

(b) any actual or alleged infringement or violation of a third party’s copyright, trademark, privacy, publicity, or other legal rights;

(c) the Member’s products, services, business operations, advertising claims, customer transactions, or professional activities;

(d) inaccurate, deceptive, fraudulent, unlawful, or misleading information provided by the Member;

(e) the Member’s violation of this Agreement or applicable law;

(f) the Member’s failure to obtain required permissions, licenses, consents, or authorizations;

(g) disputes between the Member and its customers, suppliers, employees, contractors, competitors, or other third parties; or

(h) unauthorized use of the Member’s account resulting from the Member’s failure to safeguard its credentials or access.

7.2. The indemnification obligation applies only to the extent the relevant claim or loss arises from the Member’s acts, omissions, content, business, or breach, and is subject to applicable law.

7.3. Goldbull LLC will provide reasonable notice of an indemnifiable claim when legally permissible. The Member may not settle a claim in a manner that imposes an admission, payment obligation, or continuing duty on a Protected Party without that party’s prior written consent.

7.4. Goldbull LLC may participate in the defense of a claim through counsel of its choosing at its own expense. The Member’s indemnification obligations will survive expiration or termination of the membership to the extent they relate to events occurring during the membership term.

8. LIMITATION OF LIABILITY

8.1. To the fullest extent permitted by applicable law, Goldbull LLC provides the Website and listing services on an “AS IS” and “AS AVAILABLE” basis.

8.2. Goldbull LLC does not warrant that the Website will be uninterrupted, error-free, secure at all times, continuously available, compatible with every device or system, or free from technical defects, malicious activity, or unauthorized access.

8.3. To the fullest extent permitted by applicable law, Goldbull LLC disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, as well as warranties arising from course of dealing or usage of trade.

8.4. Goldbull LLC does not guarantee the performance, conduct, quality, legitimacy, licensing, reliability, solvency, or suitability of any listed business, advertiser, customer, supplier, or third-party service provider.

8.5. To the fullest extent permitted by applicable law, the Protected Parties will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages; lost profits; lost revenue; lost business opportunities; loss of goodwill; loss of data; business interruption; lost customers; or reputational harm arising out of or relating to the Website or the listing services, even if advised of the possibility of such damages.

8.6. To the fullest extent permitted by applicable law, the aggregate liability of Goldbull LLC arising out of or relating to a particular membership will not exceed the amount actually paid to Goldbull LLC for that membership during the twelve (12) months immediately preceding the event giving rise to the claim.

8.7. The limitations in this section do not apply to liabilities that cannot lawfully be excluded or limited, including any liability that applicable law prohibits the Company from disclaiming.

8.8. The Member acknowledges that the membership fees reflect the limited scope of the listing service, the allocation of risks established by this Agreement, and the liability limitations stated herein.

9. SUSPENSION, REMOVAL, AND TERMINATION

9.1. Goldbull LLC reserves the right, to the fullest extent permitted by applicable law, to refuse, reject, edit, restrict, suspend, deactivate, remove, or terminate any listing, account, content, or membership at its reasonable discretion, including when necessary to protect the Website, its users, its reputation, its business interests, or its legal compliance.

9.2. Grounds for action may include, without limitation:

(a) suspected fraud, deception, or misrepresentation;

(b) false, inaccurate, outdated, or unverifiable business information;

(d) unlawful, offensive, threatening, defamatory, or otherwise inappropriate content;

(e) complaints from customers, rights holders, regulators, or other third parties;

(f) non-payment, payment disputes, chargebacks, or suspected payment fraud;

(g) breach of this Agreement or other applicable Website policies;

(h) security risks, abuse, spam, manipulation of search results, or misuse of the Website;

(i) risks to the Website’s reputation, operations, or legal position; or

(j) operational, technical, commercial, or legal reasons that make continued publication inappropriate.

9.3. Where appropriate, Goldbull LLC may request additional information, require correction of a listing, or provide an opportunity to remedy a breach. However, advance notice or an opportunity to cure is not guaranteed where immediate action is reasonably necessary or where applicable law does not require it.

9.4. Goldbull LLC is not required to disclose confidential security information, internal fraud-detection methods, confidential complaints, privileged legal advice, or other protected internal information when explaining a moderation, suspension, or termination decision.

9.5. Where permitted by law, Goldbull LLC may terminate a membership without prior notice if it reasonably determines that continued service presents a legal, security, fraud, material reputational, or operational risk.

9.6. A suspension or termination resulting from the Member’s breach, unlawful conduct, fraudulent activity, or material misrepresentation does not entitle the Member to a refund, except where required by applicable law.

9.7. If Goldbull LLC terminates a paid membership for its own convenience and not because of the Member’s breach, fraud, or misconduct, Goldbull LLC may, where appropriate and permitted by law, provide a prorated refund for the unused portion of the membership or another reasonable remedy.

9.8. Nothing in this Agreement authorizes Goldbull LLC to withhold a refund or remedy that is mandatory under applicable law.

9.9. Upon expiration or termination, Goldbull LLC may remove the listing and disable access to membership features. Sections that by their nature should survive termination will remain effective, including provisions concerning payment obligations, content rights, indemnification, disclaimers, liability limitations, dispute resolution, and governing law.

10. THIRD-PARTY SERVICES AND EXTERNAL LINKS

10.1. The Website may use or link to third-party services, including payment processors, hosting providers, analytics services, advertising platforms, mapping tools, social media platforms, and external business websites.

10.2. Goldbull LLC does not own or control independent third-party services and is not responsible for their availability, security, policies, products, services, acts, omissions, or content, except to the extent liability cannot lawfully be excluded.

10.3. Payments processed through Stripe are subject to applicable Stripe terms and processes. Goldbull LLC does not guarantee the uninterrupted availability of any third-party payment service.

10.4. Any transaction between a Member and a customer, or between a Member and another third party, is conducted at the parties’ own risk. Goldbull LLC is not a party to those transactions merely because a business listing appears on the Website.

10.5. The Member is responsible for reviewing the terms and privacy policies of third-party services it chooses to use.

11. NO ENDORSEMENT OR BUSINESS RELATIONSHIP

11.1. Publication of a listing does not mean that Goldbull LLC endorses, certifies, recommends, investigates, or guarantees the listed business or its products or services.

11.2. A listing does not create a partnership, joint venture, franchise, agency, employment, fiduciary, or other representative relationship between Goldbull LLC and the Member.

11.3. The Member has no authority to make representations, warranties, promises, or commitments on behalf of Goldbull LLC.

11.4. Goldbull LLC does not act as the employer, supervisor, agent, guarantor, or professional adviser of any listed business.

12. PROHIBITED ACTIVITIES

The Member must not use the Website to:

(a) publish false, misleading, fraudulent, or deceptive information;

(b) impersonate another person or business;

(d) advertise illegal products or services or engage in unlawful activity;

(e) distribute malware, spam, phishing content, or malicious links;

(f) manipulate listing rankings, reviews, traffic, or search results through deceptive means;

(g) collect or misuse personal information without a lawful basis;

(h) upload content that is unlawful, threatening, harassing, defamatory, or otherwise prohibited by applicable law; or

(i) interfere with Website security, availability, infrastructure, or other users’ access.

Goldbull LLC may take appropriate action against suspected violations, including removing content, restricting access, suspending accounts, or terminating memberships, subject to applicable law.

13. PRIVACY AND PERSONAL INFORMATION

13.1. The collection and processing of personal information in connection with the Website will be governed by the applicable Privacy Policy and relevant law.

13.2. The Member is responsible for ensuring that any personal information submitted about owners, employees, customers, or other individuals has been collected and disclosed lawfully and that all required notices and consents have been obtained.

13.3. Goldbull LLC may process account, payment-status, technical, and listing-related information as reasonably necessary to administer memberships, prevent fraud, maintain security, provide services, comply with legal obligations, and enforce this Agreement.

13.4. This Agreement does not replace the Website’s Privacy Policy or create permission to process personal information in a manner prohibited by applicable law.

14. CHANGES TO THE WEBSITE AND THESE TERMS

14.1. Goldbull LLC may update or modify these Terms when reasonably necessary for legal, operational, technical, or business reasons.

14.2. Updated Terms will be posted on the Website with an updated effective date.

14.3. Where required by applicable law, Goldbull LLC will provide notice of material changes and obtain any necessary consent before applying those changes to existing Members.

14.4. Changes to material membership terms will not retroactively eliminate rights or remedies that have already accrued under applicable law.

14.5. Continued use of the Website after updated Terms become effective may constitute acceptance of the changes where permitted by law. If affirmative consent is legally required, continued use alone will not substitute for that consent.

15. GOVERNING LAW AND VENUE

15.1. This Agreement will be governed by the laws of the State of Tennessee, United States, without regard to conflict-of-law principles, except where applicable law requires otherwise.

15.2. Subject to mandatory jurisdictional requirements and applicable law, the state courts located in Davidson County, Tennessee, and the applicable federal courts serving Nashville, Tennessee, will be the agreed venues for disputes arising out of or relating to this Agreement.

15.3. Each party submits to the personal jurisdiction of the courts identified above to the extent legally permissible.

15.4. Nothing in this section deprives a party of any non-waivable legal right to bring a claim in another court or forum where required by applicable law.

16. DISPUTE NOTICE AND GOOD-FAITH RESOLUTION

16.1. Before initiating formal proceedings, the Member is encouraged to send Goldbull LLC a written notice describing the dispute, relevant dates, the membership involved, and the requested resolution.

16.2. The parties will make a reasonable effort to resolve the dispute in good faith.

16.3. This section does not prevent either party from seeking urgent legal relief, preserving a legal claim, or complying with applicable limitation periods.

16.4. Nothing in this Agreement waives a right or remedy that cannot lawfully be waived.

17. ELECTRONIC ACCEPTANCE AND RECORDS

17.1. By selecting an unchecked acceptance box, clicking an appropriately labeled acceptance button, completing the purchase process, or otherwise affirmatively accepting these Terms through an authorized electronic method, the Member agrees to this Agreement.

17.2. The Member consents to electronic records and communications relating to the membership, including purchase confirmations, receipts, policy notices, and service-related communications, to the extent permitted by law.

17.3. Goldbull LLC may retain reasonable records of acceptance, including the applicable Terms version, timestamp, account identifier, and transaction reference, subject to applicable law and its retention policies.

17.4. The Member is responsible for providing a valid email address and maintaining access to it.

18. GENERAL PROVISIONS

18.1. Entire Agreement. This Agreement, together with the applicable purchase details and policies expressly incorporated into it, constitutes the agreement between the Member and Goldbull LLC concerning the Website listing services.

18.2. Severability. If any provision is found unenforceable, it will be limited to the minimum extent necessary or severed, and the remaining provisions will remain effective to the extent permitted by law.

18.3. No Waiver. A failure or delay in enforcing a provision does not waive the right to enforce it later.

18.4. Assignment. The Member may not assign or transfer its membership or rights under this Agreement without Goldbull LLC’s prior written consent. Goldbull LLC may assign this Agreement in connection with a merger, reorganization, sale of assets, or transfer of the relevant business, subject to applicable law.

18.5. Force Majeure. To the extent permitted by law, Goldbull LLC will not be responsible for delays or failures caused by events beyond its reasonable control, including natural disasters, government actions, widespread internet or telecommunications failures, third-party service outages, cyberattacks, labor disruptions, or other comparable events.

18.6. Interpretation. Headings are for convenience only and do not affect the interpretation of this Agreement.

18.7. No Third-Party Beneficiaries. Except for the Protected Parties expressly identified in the indemnification and liability provisions, this Agreement does not create rights in third parties.

18.8. Survival. Provisions intended by their nature to survive expiration or termination will remain effective to the extent permitted by law.

MEMBER ACKNOWLEDGMENT

By purchasing a Regular Listing or Premium Listing, the Member acknowledges that:

• The selected membership is for a fixed term of twelve (12) months.

• The applicable price and included features were presented before purchase.

• Membership fees are non-refundable except where required by law or expressly approved in writing by Goldbull LLC.

• The Member is responsible for all business information, advertising claims, images, videos, contact details, and other materials submitted to the Website.

• The Member has the legal right to submit and authorize the use of those materials.

• Goldbull LLC may moderate, suspend, remove, or terminate listings in accordance with this Agreement and applicable law.

• The Member has read, understood, and agreed to these Terms of Service & Membership Agreement.
